Terms of Service

These Terms of Service (the “Terms”) set out the conditions for using VCRadar (the “Service”), a pitch deck diagnosis service provided by Flip Friday Inc (“we”, “us”). By using the Service, you (the “User”) agree to these Terms.
1. Scope
These Terms apply to the provision of the Service and to all relations between the User and us. Any notices or guidelines we publish separately within the Service form part of these Terms.
2. The Service
The Service evaluates a pitch deck (PDF or PPTX) uploaded by the User against a defined 10-axis rubric using AI models, and presents an overall score, per-axis scores, the reasoning behind them, and suggested improvements. Results are reference information derived from generative AI analysis.
3. Account Registration
- The User shall register with accurate and current information.
- The User is responsible for managing their account and must not allow third parties to use it.
- We may restrict use of the Service where registration information is found to be false or in similar circumstances.
4. Fees and Payment
- The Service is not a subscription; it is charged per use. Prices are as displayed within the Service and are denominated in United States dollars (USD).
- Payment is made by credit card via Stripe. We do not retain credit card information; Stripe processes it.
- Diagnosis credits are granted once payment completes. Details and refund handling are governed by our Refund Policy and by the disclosure under Japan’s Specified Commercial Transactions Act (Japanese).
5. Nature of the Results; Disclaimer
Diagnosis results are reference information derived from generative AI analysis, and we do not warrant their accuracy, completeness, or usefulness. The results do not guarantee or promise any outcome, including any investment decision or fundraising outcome. Any decision or action taken on the basis of the results is the User’s own responsibility.
6. User Content
- Rights in decks and other information uploaded by the User (“User Content”) remain with the User or the rightful owner.
- The User grants us and our subprocessors permission to use User Content to the extent necessary to provide the Service, including analysis, generation of results, storage, and processing for improvement. Handling is described in our Privacy Policy.
- The User represents and warrants that they hold the necessary rights in the User Content and that it does not infringe the rights of any third party.
7. Prohibited Conduct
The User must not:
- violate any law or public policy;
- infringe the rights or interests of us or any third party;
- interfere with the operation of the Service or gain unauthorized access to it;
- upload material in which the User does not hold the necessary rights;
- resell or redistribute the Service or its results without our permission; or
- attempt to manipulate the AI through improper instructions, including prompt injection.
8. Changes, Suspension, and Termination of the Service
We may change the content of the Service, or suspend or terminate its provision, with or without prior notice to the User. We are liable for any resulting damage to the User only to the extent set out in these Terms.
9. Limitation of Liability
Except in cases of our willful misconduct or gross negligence, we are not liable for damage incurred by the User in connection with the Service. Where we are liable, our liability is capped at the amount the User paid us for the diagnosis that gave rise to the damage.
10. Changes to These Terms
We may amend these Terms as necessary. Amended Terms take effect when displayed within the Service.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles. For disputes arising in connection with the Service, the state and federal courts located in Santa Clara County, California shall have exclusive jurisdiction as the court of first instance.
However, this section does not limit any right afforded to the User by the mandatory law of their place of residence, including consumer protection legislation. For transactions with consumers in Japan, the Specified Commercial Transactions Act and other applicable laws may apply separately.
